COMMNETIX TERMS OF SERVICE

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("You" or "User"), and Commnetix LLC ("Commnetix," "We," "Us," or "Our"), concerning your access to and use of the www.commnetix.com website (the "Platform") and the services offered therein.

Commnetix operates a professional consulting platform dedicated to providing expert Internal Communication Audit and Strategy Consulting Services for mission-driven organizations. This website serves as an informational and lead-generation portal to educate visitors on our methodology, collect client inquiries, and introduce our services.

You agree that by accessing the Platform, you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM.

2. SERVICES

Commnetix provides consulting services. Any professional consulting engagement, audit, or strategy work is governed by a separate, written Client Services Agreement that you and Commnetix must sign. These Terms of Service apply only to your use of the Platform itself.

3. USER CONDUCT AND PROHIBITIONS

As a user of the Platform, you agree not to:

  • Use the Services to advertise or offer to sell goods and services.

  • Sell or otherwise transfer your profile (if such feature is introduced).

  • Engage in unauthorized framing of or linking to the Platform.

  • Use the Platform in a manner inconsistent with any applicable laws or regulations.

4. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Platform is Our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") are owned or controlled by Us and are protected by copyright and trademark laws.

The Content is provided on the Platform "AS IS" for your information and non-commercial use only.

5. LIMITATION OF LIABILITY AND DISCLAIMER

THIS SECTION LIMITS OUR LIABILITY TO YOU. PLEASE READ IT CAREFULLY.

Commnetix is an LLC. Our services are advisory only. To the maximum extent permitted by law, We will not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Platform or Our services.

Our liability for any claims arising out of or related to the Services (including negligence, breach of contract, or otherwise) will be strictly limited.

  1. Liability Cap: Our total aggregate liability for any claim shall be limited to the amount paid by the User to Commnetix for the specific services giving rise to the claim.

  2. Time Limit on Claims: Any cause of action or claim you may have arising out of or relating to the Services or the Platform must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

  3. Time Limit on Liability: Our liability is further limited to the fees paid by the client within the immediately preceding six (6) months from the date the claim arose.

6. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms shall be resolved as follows:

  1. Informal Negotiations: The parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration.

  2. Binding Arbitration: If the dispute is not resolved through informal negotiations, the parties agree to resolve the dispute by binding arbitration in Raleigh, North Carolina. The arbitration shall be conducted by a single neutral arbitrator and governed by the rules of [Insert Name of Arbitration Provider, e.g., the American Arbitration Association].

  3. Arbitration Fees: When a user initiates arbitration, the user shall be responsible for the initial filing fee (up to $$$250), and Commnetix will pay all remaining administrative and arbitrator fees.

7. UPDATES AND MODIFICATIONS

We reserve the right to change, modify, or remove the contents of the Platform at any time or for any reason at Our sole discretion. We will notify users of any material changes to our Terms by posting the new version on this page and updating the "Last Updated" date at the top. For material changes, we will also send a prominent notice to the email address associated with your subscription or service agreement.
